1. Who we are and what Chelly is
Chelly is a social marketplace operated by [Chelly Legal Entity Ltd] ([RC Number]), [Registered address, Lagos, Nigeria] ("Chelly", "we", "us"). Contact: support@chelly.ng. Chelly provides a platform connecting buyers, sellers and independent delivery riders. Chelly is NOT the seller of marketplace items, NOT the buyer, and NOT a transport or logistics company. Sellers sell to buyers; riders deliver as independent contractors (see Rider Terms). Title and risk in goods pass directly between seller and buyer — never to Chelly. Payments are processed by our providers: Paystack (card/bank transfer processing) and SafeNode (safenode.ng) for escrow holding. Chelly never asks for your seed phrase, PIN or card OTP.
2. Eligibility, accounts and security
You must be 18 or older and able to enter binding contracts under Nigerian law to buy, sell or ride. Accounts for under-18s are prohibited; we may close them and refund pending lawful orders. Give accurate details (name, email, phone, payout/bank details where required), verify your email/phone when asked, and protect your sign-in. You are responsible for activity on your account. Tell us immediately via Help Centre if it is compromised. One person, one account unless we approve otherwise. False identities, duplicate accounts to evade bans/fees, or using another person's payout details are grounds for suspension.
3. Listings, orders and checkout
Sellers are responsible for accurate listings (own photos, true condition, faults, price, stock) per the Seller Policy. Buyers must review listing details, delivery method and the final checkout quote (item + delivery + any fees) before paying. All prices are in Nigerian Naira (₦) unless stated. An order is formed when the buyer pays and the seller confirms availability. If the seller cannot confirm after payment, the escrow rules apply (refund to buyer). Sellers must confirm availability quickly, package safely, and use the pickup/delivery method shown at checkout. Repeated cancellations, late handovers or inaccurate stock may reduce discovery or pause selling (see Seller Policy strikes).
4. Payments, escrow, payouts and taxes
Buyer funds are held in escrow (via SafeNode, processed by Paystack) until the order completes or is resolved — Chelly may hold funds through these partners and release only on (a) buyer confirmation, (b) expiry of the inspection window without a valid dispute, or (c) a Chelly dispute decision. Seller/rider earnings credit to the Chelly wallet on completion. Withdrawals are reviewed (identity, fraud, availability) before payout to the bank details you provide — wrong details are your responsibility. Chelly may hold, delay, set off or reverse credits for suspected fraud, collusion, chargebacks or order reversals. Fees/commissions (if any) are shown at checkout or in seller/rider dashboards before you commit. You are responsible for your own taxes on sales and earnings. Payment timing depends on providers (Paystack/banks); Chelly is not liable for bank/network delays but shows each status in your order/ticket timeline.
5. Delivery and inspection
Three methods exist: (a) Chelly rider delivery, (b) seller-arranged delivery, (c) buyer pickup. The method and fee are fixed at checkout. Chelly-rider deliveries require seller QR/6-digit verification at pickup and direct handover to the buyer. Risk of loss/damage stays with the seller until buyer receipt, except where the rider's fault applies under the Rider Terms. Buyers must inspect promptly on delivery and report issues within 48 hours (see Returns & Refunds) — keep packaging for 7 days. Do not arrange unsafe meetings; use the in-app addresses and report concerns via Help Centre.
6. Prohibited use and IP complaints
Only lawful marketplace activity. Never list or transact prohibited items (see Prohibited Items), stolen/counterfeit/recalled goods, or anything requiring a licence you cannot demonstrate. Never misrepresent items, create duplicates to game discovery, evade fees/safety controls, scrape, hack, harass, or move payment/communication off Chelly to evade protection — off-platform deals lose escrow protection and may get you banned. If you own IP infringed by a listing, report via Help Centre with (1) your identity and rights, (2) the listing URL, (3) why it infringes. We may remove listings, warn, strike or ban repeat infringers, and share your complaint with the seller where needed to resolve it.
7. Your content and our licence
You keep ownership of photos, videos, descriptions and reviews you post, but you grant Chelly a worldwide, non-exclusive, royalty-free licence to host, store, display, distribute and promote them on Chelly (and previews/search) for operating the marketplace. You warrant you own or may share the content and that it is lawful and non-infringing. We may remove or blur content that is unsafe, fraudulent, prohibited or violates these terms. Public profile/listing details are visible to other users; delivery contact/address details are limited to those fulfilling an assigned order (see Privacy Policy).
8. Disputes, returns and refunds
If an order has a problem, open a dispute via the order / Help Centre flow within 48 hours of delivery (or of the failed delivery) and provide truthful evidence (photos, delivery proof, concise explanation). Do not send an item back until a return instruction is issued. Chelly reviews the order timeline, delivery proof and messages, and decides whether funds are released or refunded per the Returns & Refunds policy. Approved refunds go via the original available route (Paystack/bank 3–10 business days; wallet credit faster). Our dispute decision on fund release is final for platform/escrow purposes, without limiting your right to seek redress in court. Abuse (false claims, empty-box fraud, collusion) forfeits protection and may lead to bans and reports to authorities.
9. Safety, enforcement and appeals
We may remove content, pause listings, restrict accounts, hold payouts, or cooperate with lawful requests where activity is unsafe, fraudulent, prohibited or violates these terms. Safety/fraud suspensions can be immediate; otherwise we give reasons. Strikes generally apply: warning → reduced discovery → temporary pause → permanent removal for repeats or serious cases (fraud, theft, counterfeit, harassment, off-platform fee evasion). Appeal within 7 days via Help Centre with evidence; we review within a reasonable time. Chelly's decision on platform access is final subject to your statutory rights (including complaints to the FCCPC).
10. Disclaimers, liability limits and indemnity
Chelly is provided "as is" and "as available". To the maximum extent permitted by Nigerian law, Chelly disclaims implied warranties (merchantability, fitness, availability, accuracy of listings/discovery). To the extent permitted by law (and never excluding liability for fraud, wilful misconduct, or what the law forbids excluding): Chelly's total liability for any order is capped at the amounts Chelly actually received for that order (excluding pass-through escrow funds), and Chelly is not liable for indirect, incidental or consequential losses (lost profit, data, goodwill) or for seller/rider conduct, provider/bank delays, or events beyond reasonable control. You indemnify Chelly, its directors and staff against claims, losses and reasonable costs arising from your breach, your listings/content, your transactions, or your violation of law or third-party rights.
11. Termination, changes and governing law
You may stop using Chelly and request account closure via Support (some order/payment records are retained per the Privacy Policy for legal/security/dispute reasons). We may suspend or close accounts for breach, fraud, safety or legal reasons, settling or refunding lawful pending escrow per a dispute outcome. We may update these Terms (current v2.0, 17 September 2026). Material changes are notified in-app or by email/notice; continued use after the effective date means acceptance. If you disagree, stop using Chelly before then. These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the courts of Lagos State, Nigeria (without limiting consumer rights to petition the FCCPC or regulators). If any clause is invalid, the rest remains. These Terms plus the linked Seller, Returns, Prohibited and Rider terms and the Privacy Policy are the entire agreement for marketplace use. Questions: support@chelly.ng. Delivery riders — summary (full terms apply on the delivery page)
Riders are 18+ verified students acting as independent contractors (own vehicle, insurance, taxes; not employees). They must verify every pickup with the seller's QR/6-digit code in person, deliver within the ETA window, keep parcels sealed and hand directly to the buyer. Standard late deduction is up to 20% of that trip's payout, excused with proof where delay was outside the rider's control (appeal within 48 hours). Earnings credit on completion; withdrawals reviewed. Misuse of buyer/seller data, fake handover proof, theft or fraud ends rider access, forfeits disputed earnings, and may be reported to law enforcement and schools.
Riders — 1. Independent contractor — not employment
You act as an independent contractor. Nothing here creates employment, partnership or agency. You choose when and whether to accept jobs, provide your own vehicle, fuel, phone/data and insurance, and are responsible for your own taxes, licences and road compliance (including any LASG / campus rules). Chelly does not provide health, accident or vehicle insurance — maintain your own cover.
Riders — 2. Who can ride & verification
You must be 18 or older and a verifiable student of the school you select. Give your real full name, matric number, level, department, faculty, phone, city/state and vehicle type. By applying you consent to Chelly verifying these details (including with your school where lawful) and to re-verification at any time. False details = instant rejection or removal. Verification is a safety check, not a guarantee of your conduct to third parties.
Riders — 3. Pickup proof — always verify
Always verify pickup with the seller using the app's QR code or 6-digit code, in person. Never mark picked-up before meeting the seller and scanning/entering their code. Never accept a parcel that looks tampered with, leaking, unlawfully labelled, or different from the order — refuse it in-app and report it. Fake pickups, code-sharing or collusion with sellers/buyers is fraud: earnings forfeited, account removed, and Chelly may report to authorities and the affected school.
Riders — 4. Custody, care & prohibited hand-offs
From pickup scan to buyer handover, the parcel is in your custody. Keep it sealed, dry and safe. Check the item matches the order with the seller at pickup. Hand directly to the buyer at the drop-off shown in-app. Never leave unattended, with a third party, guard or roommate unless the app explicitly instructs it. If delivery is impossible, follow the in-app return-to-seller flow — never keep, open, sell or discard a parcel. You are liable for loss, damage or theft caused by your negligence, recklessness or dishonesty. Chelly may deduct proven losses from your wallet balance or pending payouts and pursue the remainder lawfully.
Riders — 5. On-time delivery & fair penalties
Deliver within the ETA window shown per order. The standard late deduction is up to 20% of that trip's payout — but NOT where you prove the delay was outside your control (seller packed late, buyer unreachable after reasonable attempts, road closure, emergency, app/network outage). Use the in-app timeline (picked-up / arrived / delivered) so delays are evidenced. Dispute a deduction within 48 hours via Help Centre; Chelly reviews GPS, timestamps, chat and seller/buyer confirmation before a final decision.
Riders — 6. Safety & legal compliance
Ride/drive safely, obey traffic and campus rules, wear required protective gear, and never ride under the influence or overload your vehicle. Chelly may immediately suspend riders for unsafe behaviour, failed verification, late/failed deliveries, dishonest handover proof, harassment, or violating these terms or the law. Serious cases (theft, assault, fraud, riding without due care causing injury) are reported to law enforcement.
Riders — 7. Privacy & confidentiality
You only ever see delivery details for orders assigned to you (names, phones, addresses, locations). Never share, copy, screenshot for others, stalk, contact outside the delivery, or misuse them. Misuse of personal data breaches these terms AND the Privacy Policy and may breach the Nigeria Data Protection Act 2023 — Chelly will remove you and cooperate with lawful complaints and investigations.
Riders — 8. Payouts, TipPoints & withdrawals
Delivery earnings credit to your Chelly wallet when the buyer (or system, after the inspection window) confirms completion, plus 1 TipPoint per completed trip per current TipPoint rules. Withdrawals are reviewed before payout (identity, fraud and availability checks). Chelly may hold, delay or reverse payouts pending investigation of suspected fraud, collusion or chargeback. Fraud, fake pickups or collusion forfeits disputed earnings and ends rider access. You are responsible for correct bank details and any taxes on your earnings.
Riders — 9. Suspension, appeals & changes
Suspension can be immediate for safety/fraud; otherwise Chelly gives reasons in-app or by notice. Appeal within 7 days via Help Centre with evidence — Chelly decides within a reasonable time and that decision on platform access is final for platform purposes (without limiting your statutory rights). Chelly may update these terms (v2.0, 17 September 2026); continued riding after notice of changes means acceptance. Key changes are highlighted in-app.
